Welcome to Steady Glade ("we," "us," or "our"). These Terms & Conditions ("Terms") govern your use of our website located at steadyglade.sbs (the "Site") and the photography services we provide ("Services").

Please read these Terms carefully before accessing or using our Site or Services. By accessing the Site, engaging our Services, or clicking to accept or agree to the Terms when this option is made available to you, you accept and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site or our Services.

1. Acceptance of Terms

By accessing our Site or using our Services, you agree to comply with and be bound by these Terms. If you are using our Site or Services on behalf of a company, organization, or other entity, then "you" includes you and that entity, and you represent and warrant that you are authorized to accept these Terms on that entity's behalf and that the entity agrees to be responsible to us if you or the entity violates these Terms.

2. Changes to Terms

We reserve the right to modify these Terms at any time. All changes are effective immediately when we post them and apply to all access to and use of the Site and Services thereafter. Your continued use of the Site or Services following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.

3. Privacy Policy

Your use of our Site and Services is also subject to our Privacy Policy, which is incorporated by reference into these Terms. Our Privacy Policy describes how we collect, use, and share information about you when you use our Site or Services.

4. Account Registration

Some portions of our Site or Services may require you to create an account. When you create an account, you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer or device. You agree to accept responsibility for all activities that occur under your account. You must notify us immediately of any unauthorized access to or use of your account.

5. Photography Services

5.1. Service Booking

Booking for our photography services is considered confirmed only after:

• You have completed our booking form or signed our service agreement
• The required deposit or full payment has been received
• You have received written confirmation from us

5.2. Deposits and Payment

Unless otherwise stated in writing:

• A non-refundable deposit of 30% of the total service fee is required to secure a booking
• The remaining balance is due 14 days before the scheduled photography session
• For bookings made less than 14 days in advance, the full payment is required at the time of booking
• All payments are to be made through our approved payment methods

5.3. Rescheduling and Cancellations

Our rescheduling and cancellation policy is as follows:

• Rescheduling requests must be made in writing at least 14 days before the scheduled session
• Rescheduling is subject to our availability and may incur an administrative fee
• Cancellations made more than 30 days before the scheduled session: deposit is non-refundable, but any additional payments made will be refunded
• Cancellations made 14-30 days before the scheduled session: 50% of the total service fee is non-refundable
• Cancellations made less than 14 days before the scheduled session: no refund will be provided
• We reserve the right to cancel or reschedule sessions due to illness, injury, or unforeseen circumstances. In such cases, we will offer rescheduling or a full refund

5.4. Service Delivery

Regarding the delivery of our services:

• We will make every effort to provide the Services as described at the time of booking
• The specific deliverables, timeline, and number of final images will be outlined in your service agreement
• Delivery timeframes are estimates and may vary based on season and workload
• We reserve the right to use our professional judgment regarding the styling, poses, locations, and number of images delivered
• Weather conditions and other factors beyond our control may affect outdoor sessions and may necessitate rescheduling

6. Intellectual Property Rights

6.1. Copyright Ownership

Unless otherwise specified in writing:

• We retain copyright ownership of all photographs and creative works we produce
• When you purchase our services, you are purchasing a license to use the images as specified in your service agreement, not the copyright to the images
• Any unauthorized use, reproduction, distribution, or modification of our photographs is strictly prohibited

6.2. Client License

Upon full payment, clients typically receive:

• A non-exclusive, non-transferable license to use the delivered images for personal use
• For commercial photography clients, the specific usage rights will be outlined in your service agreement
• Additional licensing for commercial use, publishing, or other purposes may be available for an additional fee

6.3. Portfolio Usage

By engaging our services, you grant us the right to:

• Use the photographs we create in our portfolio, website, social media, contests, exhibitions, and promotional materials
• Submit the photographs to publications, blogs, and other media

If you have privacy concerns or wish to restrict our use of your images, please discuss this with us before your session and ensure any agreements are documented in writing.

6.4. Website Content

All content on our Site, including text, graphics, logos, images, audio, video, software, and other material, is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws.

7. Prohibited Uses

You agree not to use our Site or Services for any purpose that is unlawful or prohibited by these Terms. Prohibited uses include, but are not limited to:

• Using the Site in any manner that could disable, overburden, damage, or impair the Site
• Using any robot, spider, or other automatic device, process, or means to access the Site for any purpose
• Introducing any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
• Attempting to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site
• Reproducing, duplicating, copying, selling, reselling, or exploiting any portion of the Site or Services without express written permission from us
• Modifying, creating derivative works from, reverse engineering, or attempting to copy or recreate our photographs or digital editing style

8. Limitation of Liability

In no event will we, our affiliates, or our licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Site, Services, or any content on the Site, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.

Our total liability to you for all claims is limited to the amount you paid us for the Services giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages, so some of the above limitations may not apply to you.

9. Indemnification

You agree to defend, indemnify, and hold harmless us, our affiliates, licensors, and service providers, and our and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site or Services.

10. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United Kingdom. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site or Services shall be instituted exclusively in the courts of the United Kingdom.

11. Waiver and Severability

No waiver by us of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure by us to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

12. Force Majeure

We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms that is caused by events outside our reasonable control (Force Majeure Event), including but not limited to acts of God, disease outbreaks, epidemics, pandemics, fire, flood, storm, war, riot, civil commotion, terrorism, technical failure, power failure, labor dispute, or government action.

13. Entire Agreement

These Terms, our Privacy Policy, and any service agreements constitute the sole and entire agreement between you and Steady Glade regarding the Site and Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site and Services.
